Escrow Terms of Service

Summary: These terms govern the PingTV Escrow Service, which holds funds securely during contract work between creators and clients. By creating or joining a contract on PingTV, you agree to these terms.
1. Definitions
- "Escrow Service" means the PingTV contract and milestone payment system that holds funds on behalf of parties until work milestones are approved.
- "Contract" means an agreement created through PingTV between a Creator and a Client specifying work, milestones, and payment amounts.
- "Creator" means the party performing work under the Contract.
- "Client" means the party funding and approving work under the Contract.
- "Milestone" means a discrete unit of work within a Contract, with a defined deliverable and payment amount.
- "Platform Fee" means the percentage fee retained by PingTV from each milestone payment.
- "PING Tokens" means the digital tokens used on the PingTV platform, which may be selected as an alternative payout method.
2. Escrow Service Overview
PingTV provides an escrow service that allows Clients to fund Contracts and Creators to receive payment upon completion and approval of milestones. PingTV acts as a neutral intermediary holding funds until the conditions for release are met.
PingTV is not a party to the Contract between Creator and Client. PingTV does not guarantee the quality of work, the completion of milestones, or the suitability of either party.
3. Contract Creation and Acceptance
- Either party may initiate a Contract by specifying the title, description, milestones, and total amount.
- The other party must review and accept the Contract before it becomes active.
- Contracts may be cancelled by either party while in Draft or Pending Acceptance status at no cost.
- Once a Contract is funded and active, cancellation is subject to the dispute resolution process.
4. Funding and Payments
4.1 Client Funding
The Client must fund the full Contract amount before work begins. Funds are held securely by PingTV and are not released to the Creator until milestones are approved.
4.2 Milestone Payments
- When a Creator submits a milestone as complete, the Client reviews the deliverable.
- Upon Client approval, the milestone payment is released to the Creator minus the Platform Fee.
- The Client may request revisions before approving a milestone.
4.3 Payout Methods
Creators may receive payouts via:
- Bank Account (USD) via Stripe Connect, subject to Stripe's terms and availability in supported countries.
- PING Tokens at the current market rate at the time of payout. Token payouts are available worldwide and require submission of applicable tax information (W-9 for US persons, W-8BEN for non-US persons).
4.4 Platform Fee
PingTV retains a Platform Fee from each milestone payment. The fee percentage is displayed during Contract creation and is agreed to by both parties before the Contract is activated. The current default Platform Fee is 5%.
5. Tax Information
Creators receiving PING Token payouts are required to submit applicable tax information before their first payout. PingTV stores only the last four digits and a cryptographic hash of tax identification numbers for verification purposes. PingTV does not provide tax advice. Creators are responsible for their own tax obligations.
6. Disputes
- Either party may raise a dispute on an active Contract or milestone.
- PingTV will review disputes and may request additional information from both parties.
- PingTV reserves the right to make a final, binding determination on disputed funds, including partial release to either party.
- Dispute resolution is provided as a courtesy. PingTV's determination is final and not subject to appeal within the platform.
7. Cancellation and Refunds
- Before funding: Either party may cancel at any time with no financial impact.
- After funding, before work begins: Full refund to Client minus any applicable processing fees.
- During active work: Subject to dispute resolution. Approved milestones are non-refundable. Unapproved milestone funds may be returned to the Client.
- Completed Contracts: Fully completed and approved Contracts are non-refundable.
8. Prohibited Uses
You may not use the Escrow Service to:
- Facilitate illegal activities or transactions.
- Launder money or circumvent financial regulations.
- Create sham or fraudulent contracts to manipulate platform features.
- Circumvent the Platform Fee through off-platform payments for work initiated on PingTV.
9. Limitation of Liability
PingTV provides the Escrow Service on an "as is" basis. To the maximum extent permitted by applicable law:
- PingTV is not liable for any loss, damage, or claim arising from the performance or non-performance of work under a Contract.
- PingTV's total liability for any claim related to the Escrow Service shall not exceed the Platform Fees collected on the specific Contract in question.
- PingTV is not responsible for delays, errors, or failures of third-party payment processors (including Stripe).
10. Modifications
PingTV reserves the right to modify these Escrow Terms of Service at any time. Material changes will be communicated via the platform. Continued use of the Escrow Service after changes are posted constitutes acceptance of the revised terms.
11. Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
